The confirmation statement will replace annual returns for companies from 30 June 2016.

Companies will need to file a confirmation statement from this date, providing up to date information for inclusion on the public register.

This information must be provided at least once a year although unlike annual returns there are no set dates to submit a confirmation statement, just guidance that no more than 12 months can be passed from your last statement.

The confirmation statement will serve roughly the same purpose as the annual return however there will be some differences, the two main ones are:-

  1. Rather than providing a snapshot of your company data at a specific date, you will now need to ‘check and confirm’ that the information held by Companies House is accurate.
  2. Confirmation statements will need to include information on persons with significant control (PSC).

What else do you need to include in your confirmation statement?

To complete your confirmation statement, you will need to check that the information Companies House holds about your company is correct and fully up to date.

If you need to update your shareholders’ information, change your company’s SIC code or amend the statement of capital, you can do this with your confirmation statement.

For any other changes, such as a new registered office address, you will need to complete a separate form and submit it at the same time as your confirmation statement.

Also as mentioned above companies are required to record the information of persons with significant control on a PSC register. A person of significant control is a person (or company) that holds 25% or more of the issued share capital and/or has 25% or more of the voting rights and/or has the ability to appoint the majority of the board.

How to submit your confirmation statement

Online filing is by far the easiest way to submit this information – it’s quick and easy to set up and will also save you money.

The following costs will apply when filing your confirmation statement:

– £13 when filed online

– £40 when filed on paper

These fees are paid once a year and will cover for a 12 month period.

Companies can submit as many statements during the 12 months as they need to and after the 12 months the annual fee will become due again – the HMRC will remind you about this when you sign in to file online or by letter to your company’s registered office.
